Step 1: Register as a Foreign LLC
Before you can apply for a Massachusetts non-resident license, you must register your LLC as a foreign entity with the MA Secretary of State.
Get a Certificate of Good Standing
Request a Certificate of Good Standing from your home state's Secretary of State. You will need this as part of your Foreign LLC application.
Appoint a Massachusetts Registered Agent
You must have a registered agent with a physical address in Massachusetts. InsureTrek offers this service for $45 through Registered Agents Inc, or you may use any registered agent provider of your choice.
Complete the Foreign LLC Application
Download the PDF application from the MA Secretary of State website.
Get Name Approval
Before submitting, you must get your entity name approved by the MA Division of Insurance. Email DOINameApproval@mass.gov with your unexecuted Foreign LLC application form attached.
Include the following in your email:

Submit via Fax
- Fill out a Fax Voucher for the $520 filing fee.
- Fax the following documents to (617) 624-3891:
- Fax Voucher Sheet
- Foreign LLC Application
- Name Approval from the DOI
- Certificate of Good Standing from your home state
Wait for Approval
The Secretary of State will process your application. Processing times vary.
Order Certified Copies
Once approved, order certified copies from the MA Secretary of State:
- Certified Copy of Application of Registration
- Certificate of Good Standing
These will be mailed to you. Scan them once received -- you will need digital copies for the next step.
Step 2: Submit the License Application
- Submit your non-resident agency license application through NIPR.
- Upload the certified copies (Application of Registration and Certificate of Good Standing) to the NIPR Attachments & Licensing Documentation (ALD) portal.
